Terms of Service
These Terms of Service govern your access to and use of ModomoPay, an unhosted, purpose-neutral software interface operated by ModomoPay LLC, Pennsylvania, USA. By creating an account or using the software, you agree to these terms in full.
1. Acceptance of Terms
By accessing or using ModomoPay, you confirm that you are at least 18 years of age and legally able to enter into a binding contract on behalf of yourself or your business.
2. Software Disclaimer & Non-Custodial Status
ModomoPay is a self-hosted software interface, not a bank, financial institution, custodian, escrow agent, money transmitter, or money services business. ModomoPay never takes possession, custody, or control of user funds, private keys, or fiat currency at any time.
Blockchain payments settle directly on-chain between the sender's wallet and the recipient's wallet. Card on-ramp and fiat payment services are provided by third-party regulated providers, not by ModomoPay.
3. Purpose Neutrality & User Responsibility
ModomoPay is a neutral, general-purpose software interface for direct peer-to-peer transfers. It has no visibility into, control over, or involvement in the underlying reason for any transaction — whether personal reimbursements, community fundraisers, informal sales, or commercial services.
- No purpose knowledge or verification. We do not monitor, evaluate, underwrite, approve, or verify the purpose of any payment.
- Peer responsibility. Users retain sole responsibility for ensuring their transactions comply with all applicable local, state, federal, and international laws, including tax reporting, licensing, sales tax, and consumer-protection regulations.
- No tax reporting. ModomoPay does not generate Form 1099-K or any other tax form, and does not act as a tax withholding agent.
4. Description of Service
ModomoPay provides software that lets any user — an individual, a group, or a business — create payment requests, payment links, subscriptions, and in-person keypad charges. The service does not custody funds, provide banking services, or act as a money transmitter or payment processor. Blockchain payments settle directly to the recipient's wallet; card payments are handled by third-party providers; payments sent through external apps such as Zelle, Venmo, Cash App, or PayPal move directly between the two parties inside those apps.
4a. Account and Digital Ledger Provisioning
To facilitate digital delivery, receipts, refunds, and store credit, placing an order automatically provisions an account and a secure digital ledger associated with the email address you provide. No separate sign-up step is required, and no funds are held by ModomoPay at any time. You may sign in to that account at any time to view your orders, receipts, and balance, or request its deletion by contacting the seller.
4a. External Payment Apps (Zelle, Venmo, Cash App, PayPal)
Recipients may optionally display their own handles for external payment apps — Zelle, Venmo, Cash App, or PayPal — so a sender can pay inside an app they already use. ModomoPay is not affiliated with, endorsed by, or sponsored by Zelle, Early Warning Services, LLC, Venmo, Cash App, Block, Inc., PayPal, or any of their operators. We do not process, route, settle, hold, verify, or guarantee these payments; they occur entirely between the sender and the recipient inside those apps.
ModomoPay has no visibility into whether an app payment actually happened. The software only displays the handle to send to and records that the sender says a payment was made. Marking such a payment as received is a manual action taken by the recipient, and it is not verification by ModomoPay. We cannot reverse, recall, or recover a payment made in these apps.
Anything that goes wrong with an app payment — a wrong recipient, a wrong amount, a disputed or fraudulent transfer — is handled through that app's own provider and the sender's bank or card issuer, not through ModomoPay.
5. Accounts
ModomoPay software access is currently offered as a private, invite-only preview. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
6. Prohibited Uses
You agree not to use the service to:
- Process payments for illegal goods, services, or activities.
- Evade sanctions, money laundering laws, or other legal obligations.
- Impersonate another person or misrepresent your business.
- Interfere with the security or availability of the service.
7. Fees and Payouts
Network fees for blockchain payments are paid by the sender or recipient depending on settings. Card processing fees are set by the third-party provider. ModomoPay does not hold anyone's funds.
8. Dispute Neutrality
Because payments settle directly on-chain to user-controlled wallets, ModomoPay cannot reverse transactions, process refunds, or initiate chargebacks on behalf of any party. Any refund, return, or dispute must be resolved directly between the sender and the recipient.
9. Termination
We may suspend or terminate access to the service for violations of these terms or for any other reason at our discretion.
10. Warranties Disclaimer
The service is provided "as is" without any warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, ModomoPay shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or in connection with your use of the service. Our aggregate liability for any claim shall not exceed the amount paid by you to us in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ModomoPay, ModomoPay LLC, its owners, employees, and affiliates from any claim, damage, or expense arising from your use of the service or your violation of these terms.
13. Governing Law
These Terms are governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict-of-laws provisions. Any disputes arising under these Terms will be resolved in the courts located in Pennsylvania, USA.
14. Changes to Terms
We may update these Terms at any time. Continued use of the service after changes constitutes acceptance of the revised Terms.
